Terms of Service

1. Parties and Acceptance

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and Sanctuary Farm, LLC, a limited liability company doing business as QuoteGrip (“QuoteGrip,” “we,” “us,” or “our”), the operator of the quoting and bid management platform available at quotegrip.com and any associated subdomains or mobile applications (collectively, the “Service”).

If you are accepting these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, and “you” refers to that entity. Accounts may only be created by humans; automated registrations are not permitted.

2. Description of the Service

QuoteGrip is a cloud-based software platform that helps contractors, trade businesses, and service companies create quotes and bids, manage customers, maintain item catalogs, generate PDF proposals, send email communications, and track quote statuses. Additional features may include proposal templates, market benchmarking reports, and data analytics tools. We reserve the right to modify, expand, or discontinue features at any time with reasonable notice.

3. Accounts and Registration

To access the Service you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@quotegrip.com if you suspect unauthorized access.

One account is associated with one business entity (a “Company”). Multiple users may be added to a Company account, and each user’s activity is subject to these Terms.

4. Subscriptions and Billing

4.1 Subscription Tiers

QuoteGrip offers the following subscription plans:

• Trial Plan: Full feature access for thirty (30) days at no charge. No credit card is required to start a trial. At the end of the trial period your account will be limited until you subscribe to a paid plan.
• Standard Plan: Full feature access billed on a recurring monthly or annual basis.

We may add, modify, or discontinue subscription tiers at any time. We will provide at least thirty (30) days’ notice before making material changes to pricing for existing subscribers.

4.2 Payment

Paid subscriptions are billed in advance for the applicable billing period (monthly or annual). All payments are processed by our third-party payment processor, Stripe, Inc. By providing a payment method, you authorize us to charge the applicable subscription fees on a recurring basis until you cancel. You are responsible for all applicable taxes.

4.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, your paid access will continue until the end of the current billing period. We do not provide pro-rated refunds for partial billing periods except where required by applicable law. If you believe a charge was made in error, contact us within thirty (30) days of the charge at support@quotegrip.com.

4.4 Failed Payments

If a payment fails, we will retry the charge and may downgrade or suspend your account until payment is received. We will notify you of failed payments via the email address on file.

5. Your Content

“Your Content” means any data, information, text, images, or other materials you upload to or create within the Service, including but not limited to customer records, quote documents, catalog items, pricing, company information, and correspondence.

You retain all ownership rights to Your Content. By using the Service, you grant QuoteGrip a non-exclusive, worldwide, royalty-free license to host, store, copy, process, and display Your Content solely as necessary to provide the Service to you, as described in Section 6, and as otherwise set forth in these Terms. This license terminates when your account is deleted, subject to any retention obligations under applicable law.

You are solely responsible for the accuracy, legality, and appropriateness of Your Content. You represent that you have all rights necessary to grant the licenses described in these Terms.

6. Aggregate Data and Market Research

6.1 What We Collect for Market Research

In connection with your use of the Service, QuoteGrip automatically collects business and pricing data, including but not limited to:

• Catalog item names, types, unit categories, and descriptions
• Item pricing, cost data, and unit rates
• Labor hour estimates and material quantities
• Brand and part number information for materials and equipment
• Trade or industry classification (e.g., electrical, plumbing, general contractor)
• Market sectors served (e.g., residential, commercial, municipal, infrastructure)
• Geographic data: state, metropolitan area, and ZIP/postal code of your business and, where applicable, the geographic region of projects
• Company size bracket
• Quote totals, line item values, and accepted bid amounts

6.2 How We Use Aggregate Data

QuoteGrip processes the data described in Section 6.1 to produce “Aggregate Data,” which is data that has been irreversibly anonymized and combined with data from multiple users such that no individual user, company, customer, or project can be identified. We use Aggregate Data to:

• Provide benchmarking features to you: Show you how your pricing compares to anonymized market rates in your trade, region, and market sector.
• Improve the Service: Identify patterns, optimize features, and build new tools that benefit our users.
• Produce market research and industry reports: Create aggregated datasets, trend analyses, and pricing indices.
• License Aggregate Data to third parties: We may share or sell Aggregate Data to market research firms, trade associations, financial institutions, insurance providers, construction data platforms, and similar entities. All such data will be in anonymized, aggregated form only.

6.3 What We Will Never Do

QuoteGrip will never, under any circumstances, share data in a form that identifies you or your business, including:

• Your company name, trade name, legal name, or contact information
• Individual customer names, addresses, phone numbers, or email addresses
• Specific project names, addresses, or details
• Your actual price list or catalog in any form that could be attributed to you
• Any data that could, alone or in combination with other data, be used to identify your business

6.4 Per-Item Opt-Out

You may exclude any individual catalog item from Aggregate Data collection at any time by disabling the “Include in market data” toggle for that item in your catalog. Items opted out will not contribute to any market benchmarks or licensed datasets going forward. Opting out does not affect data already processed into historical aggregates.

6.5 Basis for Processing

The collection and processing of data under this section is a material part of the consideration for access to the Service, including access to any free or discounted tier. If you do not agree to the use of your data as described in this section, you may not use the Service.

7. Acceptable Use

You agree not to:

• Use the Service in violation of any applicable law or regulation
• Upload false, misleading, or fraudulent data
• Attempt to gain unauthorized access to any part of the Service or other users’ accounts
• Use automated means (scrapers, bots, crawlers) to access or extract data from the Service without our written consent
• Reverse engineer, decompile, or attempt to derive the source code of the Service
• Resell or sublicense access to the Service without our written consent
• Transmit malware, spam, or any content that is unlawful, obscene, or harmful
• Use the Service in a manner that could impair, overburden, or damage the Service or interfere with other users

We reserve the right to investigate and take appropriate action against violations, including suspending or terminating your account without notice.

8. Intellectual Property

The Service, including all software, design, text, graphics, logos, and other content created by QuoteGrip, is owned by QuoteGrip and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use QuoteGrip’s name, logo, or other branding without our prior written consent.

You retain ownership of Your Content as described in Section 5.

9. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

10. Third-Party Services

The Service integrates with third-party services including, but not limited to, Stripe for payment processing. Your use of third-party services is governed by those parties’ own terms and privacy policies. We are not responsible for the practices of any third-party service providers.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE IN TRADE.

QUOTEGRIP DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. ANY MARKET BENCHMARKING DATA OR PRICING COMPARISONS PROVIDED THROUGH THE SERVICE ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE FINANCIAL, LEGAL, OR PROFESSIONAL ADVICE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUOTEGRIP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF QUOTEGRIP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL QUOTEGRIP’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO QUOTEGRIP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to defend, indemnify, and hold harmless QuoteGrip and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of any third party.

14. Termination

You may terminate your account at any time by contacting us at support@quotegrip.com or through your account settings. Upon termination, your right to use the Service will immediately cease.

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, if required by law, or if continued operation of your account would harm QuoteGrip or other users.

Upon account deletion, we will remove Your Content from our active systems within a reasonable period, subject to: (a) data retained in backups that will be purged on a rolling basis; (b) data required to be retained by law; and (c) Aggregate Data that has already been incorporated into anonymized datasets, which by its nature cannot be removed.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Missouri, United States, without regard to its conflict-of-law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information. The arbitration shall take place in Missouri. You and QuoteGrip each waive the right to a jury trial and the right to participate in any class action.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and/or by displaying a prominent notice within the Service at least fourteen (14) days before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account before the effective date.

17. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and QuoteGrip with respect to the Service.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

No Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
